1. Use of Services

  • You agree to provide accurate, current, and complete information when using our Services.

  • You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account.

  • Unauthorized use of our Services, including for fraudulent or unlawful purposes, is strictly prohibited.


2. Payroll and HR Services

  • 360 Payroll provides payroll processing, tax filing, HR support, time and attendance tracking, and related services.

  • While we take every reasonable step to ensure accuracy, the accuracy of payroll data depends on the information you provide. You are responsible for ensuring employee data, hours worked, and other inputs are correct.

  • We will remit taxes and filings on your behalf as part of the Service. If a late filing or penalty occurs due to our error, we will cover the penalty.


3. Fees and Payment

  • Service fees are outlined in your service agreement.

  • Payment must be made in accordance with the agreed billing schedule.

  • Late or missed payments may result in suspension or termination of Services.


4. Compliance

  • You remain responsible for compliance with applicable labor, tax, and employment laws.

  • Our Services are designed to assist in compliance but do not constitute legal or tax advice. For specific legal or tax matters, you should consult with your attorney or CPA.


5. Privacy and Data Security

  • We collect and process personal information in accordance with our [Privacy Policy].

  • 360 Payroll implements reasonable safeguards to protect your data, but no system is completely secure. You agree to use our Services with this understanding.

  • To the maximum extent permitted by law, 360 Payroll is not liable for indirect, incidental, special, or consequential damages arising from your use of our Services.

  • Our liability for direct damages is limited to the amount you paid for Services during the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless 360 Payroll, its affiliates, officers, employees, and agents from any claims, damages, liabilities, or expenses arising from your:

  • Misuse of the Services,

  • Violation of these Terms, or

  • Failure to comply with applicable laws or regulations.

  • You may terminate Services in accordance with your service agreement.

  • We reserve the right to suspend or terminate Services at our discretion if you violate these Terms or fail to make timely payments.


10. Governing Law

These Terms are governed by and construed under the laws of the State of California, without regard to its conflict of law principles.


11. Changes to Terms

We may update these Terms periodically. Any changes will be posted on this page with a revised Effective Date. Your continued use of the Services after updates constitutes acceptance of the revised Terms.
